全書分為兩部分。第一部分為「保護私有財產」,讓讀者從市場經濟發展角度,了解中國社會要面對和思考的法律問題。第二部分是「民法典」,由中國近代社會的民法文化,以至中國民法典的制定,均有深入論述。作者江平為中國著名法學家,專研民法,他參與制定了中國第一部民事法律《民法通則》,確立國民私權,也是內地民法典的起草負責人,本書不但讓讀者看到中國民法發展過程與市場經濟發展的關係,更可讓讀者了解江平這位民法學泰斗級學者的法治思維 。
